Privacy Policy and confidentiality
Definitions. The term "Confidential Information" means all information and materials disclosed by the Disclosing Party to the Receiving Party that is designated as confidential or that, under the circumstances surrounding the disclosure, ought to be treated as confidential, including but not limited to the Disclosing Party's OnlyFans account credentials and all content posted on the account.
Non-Disclosure. Receiving Party agrees not to use, disclose, communicate, copy, or permit access to any Confidential Information of the Disclosing Party to any third party except to those of its employees or agents who are required to have access to such information for the purpose of carrying out the work contemplated by this Agreement. Receiving Party shall not make any use of Confidential Information except as necessary to perform its obligations under this Agreement.
Duty of Care. Receiving Party agrees to protect and safeguard the Confidential Information with at least the same degree of care as it uses to protect its own confidential information and in no event with less than reasonable care.
Term. The obligations of this Agreement shall survive for a period of partnership and after from the date of disclosure of the Confidential Information or until such time as the Confidential Information becomes publicly available through no fault of the Receiving Party.
Remedies. Receiving Party acknowledges that any breach of this Agreement may result in immediate and irreparable harm to the Disclosing Party and that monetary damages alone may be inadequate to compensate the Disclosing Party. Accordingly, the Disclosing Party shall be entitled to seek injunctive relief in the event of any actual or threatened breach of this Agreement, in addition to any other remedies available at law or in equity.
Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the state of California, without regard to its conflicts of law principles.
Entire Agreement. This Agreement constitutes the entire agreement between the parties and supersedes all prior negotiations, understandings, and agreements between the parties, whether written or oral.
Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
